Rights and intellectual property

Use of our Services does not give you any intellectual property rights in our Services and the content you access. These Terms of Use do not grant you the right to use any trademark or logo displayed on our Services. You may not remove, obscure or alter any legal notices displayed on our Services. Our Services display information that does not belong to ORANGEAD. This information is the sole responsibility of the entity that made it available. We may check the content to ensure that it complies with the law and our Terms of Use. Orangead may remove or refuse to post any information and advertisements that violate the law, our terms or policies.

Traffic safety and mobile devices

Some of our Services are available on mobile devices. Do not use them in a way that may distract you. You must follow safe driving practices when using our Services.

The following categories of businesses and business practices are prohibited from using the services offered by Orangead. Prohibited business categories may be imposed by network rules or requirements of our suppliers. The types of businesses listed in the right column are representative, but not exhaustive. If you are unsure if your business is a prohibited business or have any questions, please contact us. By registering, you confirm that you will not use our Services to accept payments related to the following activities or business practices.

IP infringement, regulated or illegal products and services

Intellectual property or infringement of proprietary rights of sales.

Distribution or access to music without the permission of the rights holder.

Access to infringing movies; software; or other licensed materials without the permission of the rights holder.

Product or service that infringes or facilitates the infringement of a third party’s trademark, patent, copyright, trade secret or proprietary or confidentiality rights.

Use of Orangead intellectual property without our consent.

Exploitation of the Orangead name or logo, including the use of Orangead trademarks or services.

Harm in any way to Orangead or the Orangead brand.

Any action involving an endorsement or affiliation not in compliance with Orangead.

Counterfeit or unauthorized products.

Unauthorized sale or resale of products or services.

The sale of illegally imported or exported goods or services.

Prohibited, unfair, predatory or deceptive practices

Make “get rich quick” or “easy money” investments that promise high rewards.

Cup publishing or pay-to-remove sites, i.e. platforms where the objective is to publish content that causes or raises reputational issues.

Promotion of services that we determine in our sole discretion to be unfair or deceptive to consumers.

Malevolent use

Malevolent use of all Orangead services for fraudulent purposes and bad intentions.

Misinterpretations to third parties, other users or Orangead administrators.

Data falsification

It is forbidden to falsify the data recorded by our sensors in order to increase, influence or modify their interpretation.

You are not allowed to use any type of electronic device to falsify the results or captures made by our sensors.

If you try to influence or modify the data of our sensors you will be exposed to prosecution and legal action:

Computer;
Micro-computer;
Mobile devices;
Intelligent mobile devices;
Tablets;
Screens;
Projectors;

Interdications with display

You must not use any type of display that could falsify our results and the performance of our sensors.
The use of the following types of displays are illegal in order to falsify, modify, increase or decrease the number of views or any capture captured by our sensors.

Digital screens;
Papers and posters;
E-papers;
Projectors;

Potential Aggregations

Aggregation; Engage in any form of licensed or unlicensed aggregation of funds due to others.

Factoring or other activities designed to disguise the origin of funds.

Multi-level marketing pyramid schemes, network marketing and referral.

You must have an Orangead account to use our Services. Your Orangead account can be created by you or by an Orangead administrator. Creating an account allows you to publish your ads in the platform and to use some of our Services. To register your business as an advertising location to add screens or even convert your screens, send a request to Orangead. Register your locations to allow Orangead to install the necessary equipment to use our Services.

Account security

To protect your Orangead account, keep your password confidential. You are responsible for all activity that occurs in or through your account. Be sure not to reuse the same password associated with your account in third-party applications. The Orangead Privacy Policy explains how we handle your data and protect your privacy. By using our Services, you agree that Orangead or its partners may use this data in accordance with the Privacy Policy . We respond to notifications of privacy breaches and deactivate the accounts of users who have violated these rights. We provide users of our Services with the information necessary to help manage their actions in our online Services. Some of our services allow you to import, send or receive money. You retain all of your ownership rights to these amounts.

Inclusive license linked to our monetary services

When you import, transfer, send or receive money through our Services, you grant Orangead a license. This license is valid worldwide for the use, hosting, transfer, communication and publication of the amounts. The rights you grant under this license are limited to the operation, promotion and improvement of our Services. This authorization remains in effect for the entire legal term of protection of your money, even if you stop using our Services (for example, for an amount already sent).

Analysis and spam

Our automated programs analyze your content to provide you with relevant product features. Enhancements such as various artificial intelligences applicable on some of our Services. Spam and malware detection is present when transferring/transacting content or money on the platform. This analysis takes place when sending, receiving and transferring money.

Additional information about how Orangead uses and stores content is in the Privacy Policy. When you submit feedback or suggestions regarding our Services, we may use them without asking your permission.

Orangead grants you a personal, non-transferable, non-exclusive worldwide license to use the software provided to you as part of our Services. This license is exclusively intended to allow you to use and enjoy the Services provided by Orangead in accordance with the Terms of Use. You may not copy, modify, distribute, sell, or rent any or all of our Services or the software that is part of them. Similarly, you may not decompile or attempt to extract the source code of such software, except where the right to decompile is permitted by law and to the extent permitted by law, or where you have obtained our prior written permission.

Open Source Software

The Open Source aspect is important to us. Some of the software used by our Services may be offered under an open source license that we make or will make available to you. The open source license may contain provisions that expressly override some of these Terms of Use.

Orangead also uses some services provided by AWS (Amazon web services).

Orangead is constantly changing and improving its Services. Therefore, we may add or remove features or functions, and we may also suspend or discontinue a Service altogether.

You may stop using our Services at any time. However, we hope that you will continue to use them. Orangead has the right to discontinue providing you with any or all of the Services, or to add or create new limits on the use of the Services, at any time. If we need to discontinue a Service, we will, to the extent possible, provide you with reasonable notice.

Our offer of Services is subject to an obligation of means, within the limits of what is commercially reasonable. We hope that you will enjoy using them. However, our Services are subject to a limitation of warranty.

FOR EXAMPLE, WE MAKE NO REPRESENTATIONS ABOUT THE CONTENT OF THE SERVICES, THE SPECIFIC FEATURES AVAILABLE THROUGH THE SERVICES, THEIR RELIABILITY, AVAILABILITY, OR THEIR SUITABILITY TO MEET YOUR NEEDS. Possible disputes

Any claim related to these Terms of Use or the Services shall be subject exclusively to the jurisdiction of the courts of the Province of Quebec. You and Orangead hereby agree to submit to the jurisdiction of such courts.
